Terms & Conditions

By accessing or using NightShift AI — including all platform features, AI workers, Night Crew agents, NFT products, IRONCLAD, FastVideoPlayer, voice cloning, face cloning, crypto intelligence tools, and any associated services — you agree to be bound by these Terms and Conditions in full. If you do not agree to any part of these terms, you may not use our service. These Terms apply to all users, including free accounts, paid subscribers, NFT holders, API licensees, and third-party integrators.

NightShift AI is a full-stack AI business automation platform. The platform includes: (a) 18 AI Workers handling content creation, image generation, video production, storyboarding, pitch decks, email campaigns, SEO, legal brief generation, and more; (b) The Night Crew — five specialized AI agents (SHIFT, NOVA, REX, SAGE, FORGE), each with their own identity, expertise domain, and conversational capabilities including business strategy, creative direction, sales intelligence, market research, blockchain engineering, and cryptocurrency mining and trading knowledge; (c) IRONCLAD — a proprietary Express.js backend stability middleware system; (d) FastVideoPlayer — a proprietary blob-preload React video component; (e) An NFT Genesis Collection consisting of AI-generated digital artworks with utility benefits; (f) A cryptocurrency intelligence layer covering mining, trading, DeFi, on-chain analytics, and Web3; (g) Upcoming features including voice cloning, face cloning / digital twin creation, analytics dashboards, third-party integrations, mobile applications, and a white-label agency platform. NightShift AI reserves the right to add, modify, or discontinue any feature at any time.

The Night Crew consists of five AI agents — SHIFT (Strategy & Growth Director), NOVA (Creative Director), REX (Sales & Revenue Agent), SAGE (Research & Analytics Agent), and FORGE (Technical & Blockchain Engineer). Each agent is a conversational AI interface powered by third-party language model APIs. Agents have defined expertise areas but are not licensed professionals. Nothing stated by a Night Crew agent constitutes legal, financial, investment, tax, or medical advice. Cryptocurrency trading and mining information provided by the agents is for educational and informational purposes only — not investment advice. You are solely responsible for any decisions made based on agent responses. Agent conversations are not stored permanently and may be lost on session reset. Each agent message costs 1 credit. Credits are deducted upon successful response delivery.

NightShift AI provides cryptocurrency, mining, trading, DeFi, NFT, and blockchain information through its Night Crew agents and platform content. This information is strictly educational and informational in nature. It does not constitute financial advice, investment advice, trading recommendations, or solicitation to buy, sell, or hold any cryptocurrency, token, or digital asset. Cryptocurrency markets are highly volatile. Mining profitability is affected by electricity costs, network difficulty, hardware depreciation, and market prices, all of which can change rapidly. DeFi protocols carry smart contract risk, liquidity risk, and rug-pull risk. Past performance of any asset or strategy discussed on the platform is not indicative of future results. NightShift AI, its agents, and its team members hold no responsibility for any financial losses incurred based on information provided through the platform.

NightShift AI has produced a Genesis NFT Collection consisting of two AI-generated digital artworks designated as 1-of-1 editions. NFT holders receive lifetime access to NightShift AI Business plan features and a seat on the NightShift AI Founding Advisory Board, subject to the platform remaining operational. Purchasing an NFT grants ownership of the specific digital artwork token. It does not grant ownership of the NightShift AI brand, platform, underlying code, or any associated intellectual property. NFTs are digital collectibles with utility benefits — they are not securities, investment products, or financial instruments. NightShift AI makes no representations regarding the future value of any NFT.

You are responsible for maintaining the confidentiality of your account credentials. Credits are the in-platform currency used to access AI generation features. Credits are non-refundable once used. Unused credits expire if your account remains inactive for more than 12 months. Plan tiers: Free/Starter — 25 credits. Pro — 200 credits per month at $49/month. Business — unlimited credits at $129/month. Night Crew agent messages cost 1 credit each. All credit costs are subject to change with notice.

Each NightShift AI tool includes limited free uses per device. Once exhausted, credit costs apply: AI Image Standard — 3 free uses, then 1 credit. AI Image HD — 2 credits always. Video Storyboard — 3 free, then 1 credit. AI Worker Tasks — 3 free, then 1 credit. HeyGen Talking Avatar — 3 free, then 1 credit. Vidu AI Video — 3 free, then 5 credits. Neural Video (Wan 2.1) — 3 free, then 5 credits. Night Crew Agent Messages — 1 credit each, no free uses. Credits are deducted on successful completion only. Failed generations are not charged.

One-time credit top-up packs are available for purchase at any time: Starter Pack — 50 credits for $4.99. Pro Pack — 150 credits for $11.99. Power Pack — 500 credits for $29.99. Top-up credits are applied immediately upon successful payment. They do not expire and are held separately from subscription credits. Top-up purchases are non-refundable once applied.

Users who refer a new account holder via their unique referral link receive 20 credits once the referred user's account is successfully created. The referred user receives 10 bonus credits on signup. Referral credits have no cash value and cannot be exchanged for money or applied against subscription fees. NightShift AI reserves the right to revoke referral credits if abuse, self-referral, or fraudulent activity is detected.

All paid plans are billed monthly on a recurring basis. You may cancel at any time; cancellation takes effect at the end of the current billing period. A 14-day money-back guarantee applies to Pro and Business plans for first-time subscribers only. Subscription credits do not roll over between billing periods. All payments are processed securely via Stripe. NightShift AI does not store payment card details.

IRONCLAD is a proprietary server-side stability middleware system. It provides crash prevention, API timeout interception, database recovery, and Express error handling. IRONCLAD logs stability events (event type, anonymised detail, timestamp) — no personally identifiable user data is included. Logs are retained for up to 90 days. IRONCLAD is available as a standalone licensed module for third-party Express.js applications under separate commercial license terms.

FastVideoPlayer is a proprietary React video component using blob preloading for instant, buffer-free video playback. License tiers: Developer — $19/month (1 project, non-commercial). Commercial — $79/month (unlimited projects). Lifetime — $199 one-time payment. A license grants use of the compiled component only — not source code access, resale rights, or sublicense rights.

Voice Mode is an optional monthly add-on at $5/month enabling real-time voice-to-text input within Night Crew agent conversations, powered by the browser's native Web Speech API. Key terms: (a) Microphone Permission — activating Voice Mode requires granting microphone access. NightShift AI does not record, store, transmit, or retain any audio. All speech-to-text processing occurs locally within your browser; (b) No Audio Storage — no audio data is ever sent to NightShift AI servers; (c) Browser Compatibility — requires Chrome, Edge, or Safari; (d) Subscription & Cancellation — billed monthly, cancel anytime via Stripe billing portal; (e) Accuracy Disclaimer — transcription accuracy depends on microphone quality and browser performance. NightShift AI makes no warranty regarding transcription accuracy.

Planned for Q2–Q3 2026. By submitting audio for voice cloning, you grant NightShift AI a limited license to process the recording solely to generate your personal voice model. By submitting photographs for face cloning, you warrant that you are the individual depicted or have obtained full consent. You may not use these features to impersonate any person without explicit consent, create defamatory or harmful content, or engage in any unlawful activity. Violations result in immediate account termination.

All content generated by you using NightShift AI is owned by you, subject to your compliance with these Terms. NightShift AI retains full ownership of all platform code, AI systems, agent personas (SHIFT, NOVA, REX, SAGE, FORGE), IRONCLAD middleware, FastVideoPlayer, NFT artwork, branding, trademarks, and proprietary algorithms. You may not reproduce, reverse-engineer, resell, sublicense, or distribute any NightShift AI proprietary technology without express written permission.

We collect your email address, usage data, and platform interaction data to operate and improve the service. We do not sell your personal data to third parties. AI generation prompts, agent conversation inputs, and uploaded media are processed solely to deliver your requested output. You may request deletion of your account and associated data at any time by contacting us. We comply with applicable data protection regulations including GDPR where applicable.

NightShift AI offers optional Two-Factor Authentication (2FA) via TOTP. Accounts are automatically locked for 15 minutes after 5 consecutive failed login attempts. All login attempts are logged with IP address and timestamp. You agree not to circumvent, bypass, or reverse-engineer any security mechanism — doing so results in immediate account termination.

NightShift AI is provided "as is" without warranties of any kind, express or implied. AI-generated content, agent responses, and cryptocurrency intelligence outputs may be inaccurate, incomplete, or unsuitable for specific purposes. You are solely responsible for reviewing all generated content before publishing or acting upon it. NightShift AI makes no warranty regarding uptime, availability, or the continuous operation of any specific feature.

To the maximum extent permitted by applicable law, NightShift AI and its founders, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service. Our total liability for any claim shall not exceed the amount you paid to NightShift AI in the 30 days preceding the claim.

You agree not to: use the platform to generate harmful, defamatory, discriminatory, or illegal content; use voice or face cloning features to impersonate any person without consent; attempt to circumvent security systems, rate limits, or credit controls; resell, sublicense, or redistribute NightShift AI outputs in violation of these Terms; use automated scripts to abuse free usage limits or referral systems; engage in any activity that disrupts platform availability for other users.

NightShift AI may update these Terms at any time. Continued use of the service after changes are published constitutes acceptance of the updated Terms. We will notify users of material changes via email or an in-app notification.

NightShift AI respects intellectual property rights. If you believe content generated, uploaded, or hosted on the platform infringes your copyright, send a notice to nightshiftai101@gmail.com with subject line “DMCA Takedown” including: (a) your physical or electronic signature; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the material to be removed and its URL on the platform; (d) your contact information (address, phone, email); (e) a statement that you have a good-faith belief that the use is not authorized; (f) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act on behalf of the copyright owner. We will respond to valid notices within 10 business days. Repeat infringers will have their accounts terminated. Counter-notices may be sent to the same address with subject “DMCA Counter-Notice.”
